Welcome to Pandacat Inc. These Terms of Service ("Terms") govern your use of our website, client portal, and the services we provide (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Use of Our Services

You must be at least 18 years old and legally capable of entering into a binding contract in your jurisdiction to use our Services. You agree to use our Services in compliance with all applicable laws and regulations and not for any unlawful purpose. You are responsible for maintaining the confidentiality of your account and password for our Client Portal and for restricting access to your devices.

2. Client Portal and Accounts

Access to our Client Portal requires you to create an account. You agree to provide accurate and complete information when creating your account and to keep this information up-to-date. You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. SMS/Text Messaging and Phone Call Consent

By providing your phone number to Pandacat Inc., you expressly consent to receive communications from us via phone calls and text messages (SMS). This may be required to use services that involve phone-based communication.

• Express Consent: You agree to receive text messages and phone calls from Pandacat Inc. for purposes including account alerts, support, informational notices, and — where you have consented — marketing or promotional offers related to your service.
• Compliance with Canadian Law: Our commercial electronic messages are governed by Canada's Anti-Spam Legislation (CASL), S.C. 2010, c. 23, and our telemarketing and automated calling practices are subject to the CRTC's Unsolicited Telecommunications Rules. We will obtain the consent required by these laws and honour opt-out requests as they require.
• Types of Messages: These communications may be sent using automated technology. Message and data rates may apply.
• Opt-Out: You may opt out of receiving SMS messages at any time by replying "STOP" to any message. For help, reply "HELP". Opting out may impact your ability to use certain features that rely on phone-based communication.
• Your Responsibility to Your Clients: If you use our Services to send communications to your own customers or clients, you represent and warrant that you have obtained all necessary prior consent from them to be contacted via text message or phone call, in compliance with all applicable laws, including CASL, the CRTC's rules, and — where you contact recipients in the United States — the U.S. Telephone Consumer Protection Act (TCPA). You are solely responsible for your own messaging and calling practices.

4. Payments, Billing, and Subscriptions

We offer both one-time and recurring subscription-based services. By purchasing a service, you agree to pay the specified fees. All payments are processed through our third-party payment processor, Stripe. For recurring subscriptions, you authorize us to charge your payment method on a recurring basis (e.g., monthly, annually) until you cancel your subscription. You are responsible for all applicable taxes.

5. Intellectual Property

All content and materials available on our website and through our Services, including but not limited to text, graphics, website name, code, images, and logos, are the intellectual property of Pandacat Inc. and are protected by applicable copyright and trademark law. Any inappropriate use, including the reproduction, distribution, display, or transmission of any content on this site, is strictly prohibited unless specifically authorized by Pandacat Inc.

6. User-Generated Content

If you post, upload, or make available any content on the Services ("User Content"), such as files or comments in the task manager, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such User Content solely for the purpose of providing the Services to you. You represent and warrant that you have all the rights necessary to grant us this license.

7. Prohibited Activities

You are prohibited from using the Services to:

• Engage in any activity that is illegal, fraudulent, or harmful.
• Transmit any viruses, worms, or other malicious software.
• Attempt to gain unauthorized access to our systems or another user's account.
• Interfere with the proper working of the Services.

8. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. Pandacat Inc. makes no warranties, expressed or implied, and hereby disclaims all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement. Nothing in these Terms limits any warranty or right that cannot be excluded or limited under applicable law, including the Consumer Protection Act (Quebec) for Quebec consumers.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Pandacat Inc. or its suppliers be liable for any indirect, incidental, or consequential damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Services. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

10. Termination

We may terminate or suspend your access to our Services, with or without notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions. The courts of Ontario shall have jurisdiction over any dispute arising from these Terms. Nothing in this section deprives a consumer of the benefit of any mandatory protections of the law of the province or territory in which they reside — including, for Quebec residents, the protections of the Consumer Protection Act (Quebec) and the mandatory rules of the Civil Code of Québec.

12. Language

These Terms are available in English and French; you may switch languages using the toggle at the top of this page. Except where applicable law requires otherwise — including, for Quebec consumers, under the Charter of the French Language and the Consumer Protection Act (Quebec) — the English version governs in the event of any inconsistency or conflict between the two versions.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will update the "Last Updated" date above and, where required by law, provide additional notice of material changes. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Services.
